Terms and Conditions

These Terms and Conditions ("Terms") govern your use of DirtLink, the website at dirtlink.ca and any related services (collectively, the "Service"), operated by Earth Movers Network Inc., operating as 'DirtLink' (CRA Business Number 8267292) ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service

DirtLink is an online platform that displays publicly approved development permits in Calgary, Alberta on an interactive map and allows site owners and earth-moving professionals to connect about earth material (soil, fill, aggregate, and similar). DirtLink is a marketplace platform only. We are not a party to any transaction, contract, or arrangement between users.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering binding contracts. You agree to provide accurate registration information and to keep your account credentials confidential. You are responsible for all activity under your account.

3. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to:

  • Post listings for property or material you do not have authority over.
  • Misrepresent material type, quantity, condition, or contamination status.
  • Use the Service to send unsolicited commercial messages or harvest contact data for purposes unrelated to legitimate material exchange.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use automated tools to access the Service without our written permission.
  • Interfere with or disrupt the Service or any other user's use of it.
  • Use the Service for any unlawful purpose.

We may suspend or terminate accounts that violate these rules.

4. User content and listings

You retain ownership of content you submit (listings, photos, soil reports, descriptions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to display, store, reproduce, and distribute that content on the Service for the purpose of operating DirtLink.

You represent that you have the rights to post any content you submit and that it does not infringe on any third party's rights. We may remove content that violates these Terms or applicable law.

5. Pricing and payment

Posting and claiming a site is always free. Some features ("reveals," subscription tiers) require payment. Current pricing is published at dirtlink.ca/pricing.

Subscriptions renew automatically until cancelled. You authorize Stripe Payments Canada, Ltd. to charge your payment method on each billing cycle. Prices may change with at least 30 days' notice; changes apply to the next billing cycle.

6. Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle. Monthly subscription fees are generally non-refundable except where required by applicable consumer protection law.

7. Intellectual property

The DirtLink platform, including software, design, branding, and aggregated data, is owned by Earth Movers Network Inc. and protected by Canadian and international intellectual property laws. You may not copy, modify, or create derivative works of the Service except as expressly permitted.

8. Third-party data

Permit information displayed on the Service is sourced from the City of Calgary Open Data Portal under the Open Government Licence – City of Calgary. We do not verify or independently confirm the accuracy, currency, or completeness of permit data. Users are responsible for verifying any information before relying on it. See our Open Data Attribution Notice.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not verify users, listings, material claims, or transactions. You connect with other users at your own risk. See our Disclaimer for additional details.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EARTH MOVERS NETWORK INC., ITS DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

Our total aggregate liability to you for any claim arising from these Terms or your use of the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

11. Indemnification

You agree to indemnify and hold harmless Earth Movers Network Inc. from any claims, losses, or damages (including legal fees) arising from your use of the Service, your content, your interactions with other users, or your violation of these Terms or any law.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

13. Modifications to these Terms

We may modify these Terms from time to time. Material changes will be communicated by email or by a prominent notice on the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. You agree that the courts of Alberta, located in Calgary, have exclusive jurisdiction over any dispute arising from these Terms or your use of the Service.
